1. Acceptance of Terms

Welcome to Oddmi. Oddmi operates this store and website (the "Site"), including all related information, content, features, tools, products, and services, in order to provide you with the Services. Oddmi is powered by Shopify, which enables us to provide the Services to you.

By accessing or using the Site or placing an order through it, you agree to be bound by these Terms and Conditions ("Terms") and our [Privacy Policy]. If you do not agree, do not use the Site.

These Terms apply to all visitors, customers, and anyone who places an order with Oddmi ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years old, or the age of majority in your province/state, to place an order on the Site, and you represent that you meet this requirement. If a minor dependent uses the Site on a device you own or manage, you consent to their use on your behalf and agree that these Terms apply to that use.

3. Accounts

If you create an account:

• You must provide accurate, current information and keep it up to date.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• You may not transfer, sell, assign, or license your account to any other person.
• Notify us immediately at hello@oddmi.com of any unauthorized use of your account.
• We may suspend or close accounts that violate these Terms.

4. Products and Descriptions

We attempt to display product colors, sizes, and details as accurately as possible, but we do not guarantee that your device's display will accurately reflect the actual product, and we do not warrant that the appearance or quality of any product will meet your expectations. Product descriptions are subject to change at any time without notice. We reserve the right to limit quantities, discontinue any product, and correct pricing or description errors, including typographical errors, inaccuracies, or omissions relating to pricing, promotions, or availability, at any time without prior notice, even after an order has been submitted.

5. Orders

When you place an order, you are making an offer to purchase. We reserve the right to accept, decline, limit, or cancel any order at our discretion, including after an order has been placed or payment has been received. Your order is not accepted until we confirm it. If we decline, change, or cancel an order, we will attempt to notify you using the contact information provided at checkout. If we cancel an order after payment, you will receive a full refund of the amount charged.

You represent that your purchases are for personal or household use and not for commercial resale or export.

6. Pricing and Payment

Prices are displayed in your local currency (USD or CAD) at checkout based on your shipping destination and are subject to change without notice, though changes will not affect orders already placed. The price charged will be the price in effect at the time your order is placed, as set out in your order confirmation email.

Applicable taxes (including GST/HST/PST for Canadian orders and sales tax for US orders) are calculated at checkout based on shipping destination. See Section 7 for how customs duties on US-bound orders are handled.

Promotions on the Site may be governed by additional terms; where those terms conflict with these Terms, the promotion terms govern for that promotion.

Payment is processed through Shopify Payments. By providing payment information, you represent that you are authorized to use that payment method and that charges incurred will be honored by your payment provider. We reserve the right to refuse or cancel any order we suspect is fraudulent.

7. Shipping

We ship from Canada to addresses in the United States and Canada. We do not ship to P.O. boxes, freight forwarders, or APO/FPO addresses.

Rates, delivery estimates, and carrier details are set out in our [Shipping Policy - link it], which forms part of these Terms. Shipping times and costs shown at checkout are estimates and not guaranteed delivery dates. We are not responsible for delays caused by carriers, customs processing, or events outside our control.

Once we transfer a product to the carrier, risk of loss and title pass to you, unless otherwise required by law in your jurisdiction.

Orders shipping from Canada to the United States are shipped on a Delivered Duty Paid (DDP) basis: applicable US customs duties and tariffs are included in the product price. US customers are only charged for shipping as calculated at checkout and should not be charged customs duties on delivery. If a US order is unexpectedly assessed customs charges on delivery, contact us at hello@oddmi.com.

8. Returns and Exchanges

Returns and exchanges are governed by our [Returns & Exchanges Policy - link it], which forms part of these Terms. Nothing in that policy or in these Terms limits any statutory rights you may have under applicable consumer protection law (see Section 16).

9. User Conduct

You agree not to use the Site to:

• Engage in any unlawful or malicious purpose, or violate any applicable law or regulation.
• Attempt to gain unauthorized access to the Site or other users' accounts, or interfere with the Site's operation or security.
• Infringe our intellectual property rights or the rights of others.
• Harass, defame, or harm any other person.
• Transmit false or misleading information, or submit false information when placing an order (e.g., fraudulent payment details, fake shipping addresses).
• Send spam, phishing attempts, or unsolicited advertising.
• Impersonate any other person or entity.
• Scrape, harvest, or collect data from the Site using automated means without our written consent, or use a robot, spider, or similar tool to access the Site (see Section 10 for AI agent access).
• Upload viruses or other malicious code.

We reserve the right to suspend, disable, or terminate access to the Site for any violation of this section, without notice.

10. AI Agents

This section applies if you use, enable, or deploy an "Agent" (any software that takes autonomous or semi-autonomous action on your behalf, such as an AI shopping assistant or browsing tool) to access or interact with the Site.

An Agent may only access the Site if it: (a) identifies itself as an Agent in its requests (e.g., via the user agent string); (b) does not conceal that it is an Agent or attempt to mimic human behavior to bypass bot detection; (c) responds truthfully if asked whether it is a human or automated system; and (d) does not circumvent any technical measure we use to control Agent access. We may block or limit Agent access to the Site at our discretion.

11. User Content and Feedback

If the Site allows you to submit reviews, comments, suggestions, or other content ("User Content"):

• You retain ownership of your User Content but grant Oddmi a non-exclusive, worldwide, perpetual, royalty-free, sublicensable license to use, reproduce, modify, and display it in connection with operating and promoting the Site (e.g., displaying a product review, using a customer photo in marketing, or incorporating feedback into how we run the Site).
• You represent that your User Content is your own, doesn't infringe anyone else's rights, and isn't false, defamatory, unlawful, or in violation of these Terms.
• We are under no obligation to keep User Content confidential, compensate you for it, or respond to it.
• We may remove User Content at our discretion, including content that violates these Terms.

12. Third-Party Links and Tools

The Site may link to, or provide access to, third-party websites or tools (e.g., payment processors, social media, customer-service widgets) that we do not control. We are not responsible for the content, accuracy, or practices of any third-party site or tool, and any such tool is provided "as is" without warranty. Use of third-party sites or tools is at your own risk, and you should review their own terms and policies.

13. Intellectual Property

All content on the Site — product photography, logos, descriptions, design, and text — is owned by Oddmi or its licensors and protected by copyright and trademark law. You may use the Site for personal, non-commercial use only. You must not reproduce, distribute, modify, publicly display, or commercially exploit this content without our prior written permission. Oddmi's name, logo, and product names are trademarks of Oddmi; Shopify's name and logo are trademarks of Shopify. All rights not expressly granted are reserved.

14. Relationship with Shopify

Oddmi is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make through the Site are made directly with Oddmi. Shopify is not responsible for any aspect of sales between you and Oddmi, including any injury, damage, or loss resulting from purchased products. You release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Oddmi.

15. Disclaimer of Warranties

The Site and its content are provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose, and without any guarantee that the Site will be uninterrupted, timely, or error-free, except as required by law. Nothing in this section, or in this document as a whole, limits any statutory warranty rights you have under British Columbia's Business Practices and Consumer Protection Act, other Canadian provincial consumer protection law, or applicable US state law — those rights apply regardless of this disclaimer.

16. Limitation of Liability

To the maximum extent permitted by law, neither Oddmi nor Shopify shall be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or purchase of products. Our total liability for any claim shall not exceed the amount you paid for the product(s) giving rise to the claim. This limitation does not apply to damages caused by our gross negligence or willful misconduct, or where such limitation is not permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Oddmi, Shopify, and our respective officers, employees, and agents from any claims, damages, or liabilities, including reasonable legal fees, arising from your breach of these Terms, your violation of any law or third-party right, or your use of the Site. We will control the defense of any such claim at your expense, and will not settle any claim requiring a non-monetary obligation from you without your consent.

18. Force Majeure

We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to natural disasters, labor disputes, carrier delays, customs delays, acts of government, or supply chain disruptions.

19. Termination

We may suspend or terminate your access to the Site at any time, at our discretion, without notice. You remain responsible for any amounts owed as of the termination date. Sections that by their nature should survive termination will continue to apply, including Intellectual Property, User Content and Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

20. Dispute Resolution and Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute will be resolved in the courts of British Columbia.

21. Changes to These Terms

We may update these Terms at any time. The "Last Updated" date reflects the most recent revision. We will notify you of material changes as required by applicable law. Continued use of the Site after changes take effect means you accept the revised Terms.

22. Privacy

Your use of the Site is governed by our [Privacy Policy], which explains how we collect and use your personal information, including for Canadian customers under PIPEDA and, if applicable, US state privacy laws.

23. Miscellaneous

Entire Agreement. These Terms, together with the policies incorporated by reference (Shipping Policy, Returns & Exchanges Policy, Privacy Policy), constitute the entire agreement between you and Oddmi and supersede any prior agreements. Ambiguities in these Terms will not be construed against the drafting party.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not transfer or assign these Terms or your rights under them without our written consent. We may assign these Terms without notice to you.

Severability. If any provision of these Terms is unenforceable, the remaining provisions remain in effect.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
